Terms of Service

Please read these terms carefully. By accessing or using TRADICOMM, you agree to be bound by them.

Effective from: 22 June 2026

1. Acceptance

By accessing or using the TRADICOMM platform, website, or mobile application (collectively, the “Platform”), you agree to these Terms of Service and our Privacy Policy. The Platform is operated by Hiveootech Ltd (RC 9438361), a Nigerian private company limited by shares. If you do not agree to these terms, do not use the Platform.

2. Definitions

TRADICOMM
The product brand operated by Hiveootech Ltd, encompassing the Platform in all its forms.
The Platform
The TRADICOMM website, mobile application, and backend services.
User
Any individual or entity that creates an account on the Platform.
Merchant
A User who lists products or services for sale through the Platform.
Buyer
A User who places an order through the Platform.
Fulfiller
A verified logistics partner who carries out deliveries on the Platform.
Delivery
The physical movement of goods from a Merchant to a Buyer, coordinated via the Platform.
Order
A confirmed purchase transaction between a Merchant and a Buyer, recorded on the Platform.

3. Eligibility

To create an account, you must:

  • Be at least 18 years of age
  • Provide accurate and truthful registration information
  • Comply with all applicable Nigerian laws and regulations
  • Have the legal capacity to enter into binding contracts in your jurisdiction

4. Account responsibilities

You are responsible for maintaining the confidentiality of your credentials (phone number, PIN, biometric configuration). You must not share your account with any other person.

You must notify us immediately of any unauthorized access to your account or any other security breach by emailing security@tradicomm.com.

You are responsible for all activity that occurs under your account, whether or not you authorized it.

5. User content and conduct

You retain ownership of content you create on the Platform (product listings, messages, photos). By posting content, you grant Hiveootech Ltd a non-exclusive, royalty-free, worldwide license to host, transmit, display, and index that content solely for the purpose of operating the Platform.

You must not post or transmit content that is:

  • Illegal under Nigerian law or any applicable jurisdiction
  • Fraudulent, deceptive, or misleading
  • Hateful, threatening, or harassing toward any individual or group
  • Infringing of intellectual property rights
  • Spam, phishing, or malware
  • Sexually explicit material involving minors (a criminal offence under the Cybercrimes Act 2015)
  • In violation of any third party's rights

6. Commerce on the Platform

Merchants are independent businesses. Hiveootech Ltd facilitates the Platform on which Merchants list and sell but is not a party to any Merchant–Buyer contract.

Refund, return, and cancellation policies are set by individual Merchants. TRADICOMM provides dispute-resolution tooling but does not adjudicate every dispute and does not guarantee outcomes.

Merchants are responsible for ensuring that listed products and services comply with all applicable Nigerian laws, including consumer-protection, product-safety, and import/export regulations.

7. Logistics and fulfillment

Fulfillers are independent contractors verified by Hiveootech Ltd. They are not employees or agents of Hiveootech Ltd.

Photo-confirmed handover is required on all deliveries facilitated by the Platform. Funds held in escrow are released only on confirmed receipt.

Hiveootech Ltd may offer insurance and compensation options for lost or damaged deliveries at its discretion. Terms of any such scheme will be disclosed at the point of purchase.

8. Payments

Payments on the Platform are processed via licensed Nigerian payment service providers (PSPs). Hiveootech Ltd does not store full payment card data.

Platform fees and transaction charges will be disclosed at checkout before any payment is completed. By proceeding with a payment, you confirm you have reviewed and accept the applicable fees.

Chargebacks and refunds are handled in accordance with the policies of the relevant PSP and the specific Merchant involved.

9. Intellectual property

The TRADICOMM brand name, logos, trademarks, software, product designs, and all associated intellectual property are owned by Hiveootech Ltd. No license is granted to you except the limited right to use the Platform for its intended purpose. You may not copy, modify, distribute, or reverse-engineer any part of the Platform.

10. Termination

Hiveootech Ltd may suspend or permanently terminate your account if you violate these Terms, engage in fraudulent activity, or use the Platform in a manner that harms other Users or third parties.

You may close your account at any time by contacting hello@tradicomm.com. On closure, we will process data deletion in accordance with our Privacy Policy.

11. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR UNINTERRUPTED AVAILABILITY. HIVEOOTECH LTD DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE OR CONTINUOUSLY AVAILABLE.

12. Limitation of liability

To the maximum extent permitted by Nigerian law, Hiveootech Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or in connection with your use of the Platform, even if Hiveootech Ltd has been advised of the possibility of such damages.

13. Indemnification

You agree to indemnify, defend, and hold harmless Hiveootech Ltd, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any third-party right.

14. Governing law and jurisdiction

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

Before pursuing litigation, parties are encouraged to attempt resolution through the Lagos State Multi-Door Courthouse (LMDC) mediation process.

15. Changes to these terms

We may update these Terms from time to time. We will notify registered Users of material changes at least 30 days before they take effect, via email or in-platform notification. Continued use of the Platform after the effective date of any update constitutes acceptance of the revised Terms.
